01. Eligibility and Authority
You must be at least 18 years old to use the Services as an account holder.
If you use the Services on behalf of a company, landlord entity, property manager, or other organization, you represent that you have authority to bind that entity to these Terms.
02. The Services
Maintenance Ledger provides software intended to help users track maintenance issues, coordinate vendors, manage recurring upkeep, retain maintenance records, and support related workflows.
The Services are tools for recordkeeping, coordination, and workflow support. They are not:
- Legal advice
- Accounting advice
- Tax advice
- Engineering advice
- Licensed property management advice
- Emergency dispatch services
03. Accounts
To access certain features, you may need to create an account. You agree to:
- Provide accurate information
- Keep your account information current
- Maintain the confidentiality of your login credentials
- Promptly notify us of unauthorized use of your account
04. Customer Responsibility for Data and Workflows
If you are an account holder or internal user, you are responsible for:
- The accuracy of data entered into the Services
- The legality of your use of the Services
- Obtaining permissions needed to share data with tenants, vendors, or third parties
- Reviewing work orders, reminders, records, and exported data before relying on them
- Your vendor selection, contractor oversight, and maintenance decisions
05. Tenant and Vendor Access Links
The Services may allow customers to send secure links to tenants or vendors so they can submit maintenance requests, view work-order information, or provide status updates.
These links are provided as a convenience. We do not guarantee that recipients are the intended persons, that submitted information is complete or accurate, or that status updates reflect real-world conditions in all cases. Customers are responsible for their operational use of these workflows.
06. Acceptable Use
You agree not to:
- Use the Services for unlawful purposes
- Upload malicious code or harmful content
- Attempt to gain unauthorized access to the Services or related systems
- Interfere with platform integrity or performance
- Access another customer's data
- Use the Services to send spam or abusive content
- Upload content you do not have the right to use or share
- Reverse engineer, scrape, or copy the Services except as permitted by law
07. Subscription, Billing, and Payment
Certain features of the Services may require a paid subscription.
By subscribing to a paid plan, you agree to the pricing, billing frequency, and plan limits presented at the time of purchase. You authorize us and our payment processor to charge your selected payment method for subscription fees, applicable taxes, and other agreed charges.
Unless otherwise stated, subscriptions renew automatically until canceled. You are responsible for keeping billing information current.
08. Plan Limits and Feature Access
Your access may depend on your subscription plan, including usage thresholds such as active-unit limits or similar account limits.
If your account exceeds the limits of your plan, we may restrict certain actions until you upgrade, reduce usage, or otherwise return to compliance with the plan terms.
09. Cancellations and Changes
You may cancel your subscription according to the billing settings or instructions provided in the Services. Unless otherwise stated:
- Cancellation prevents future renewal
- Fees already paid are non-refundable except where required by law
- Access to some paid features may continue until the end of the current billing period, then end or downgrade
10. Availability and Changes to the Services
We may modify, improve, suspend, or discontinue all or part of the Services at any time.
We aim to provide a reliable service, but we do not guarantee uninterrupted or error-free availability. Maintenance, outages, third-party failures, and other events may affect access.
11. Third-Party Services
The Services may rely on third-party providers such as payment processors, hosting providers, email delivery providers, or communications services.
We are not responsible for downtime, errors, or acts of third-party services beyond our reasonable control.
12. Customer Content
You retain ownership of content you submit to the Services, including maintenance records, notes, uploads, and attachments, subject to the rights needed for us to provide the Services.
You grant us a non-exclusive, worldwide, limited license to host, store, process, transmit, and display your content solely as necessary to operate, maintain, secure, and improve the Services.
You represent that you have the rights necessary to submit and use that content.
13. Feedback
If you provide suggestions, ideas, or feedback about the Services, we may use them without restriction or compensation to you.
14. Privacy
Your use of the Services is also governed by our Privacy Policy.
15. Intellectual Property
The Services, including software, design, branding, and related materials, are owned by Maintenance Ledger or its licensors and are protected by applicable intellectual property laws.
Except for the limited right to use the Services under these Terms, no rights are granted to you.
16. Disclaimers
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE."
TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.
We do not warrant that the Services will be uninterrupted, secure, error-free, or suitable for every use case.
We do not warrant the accuracy of user-submitted data, vendor-submitted updates, exported records, or third-party integrations.
17. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, MAINTENANCE LEDGER AND ITS AFFILIATES, OWNERS, OFFICERS, EMPLOYEES, AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS INTERRUPTION, ARISING OUT OF OR RELATED TO THE SERVICES.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SERVICES WILL NOT EXCEED THE GREATER OF:
- The amount you paid us for the Services in the 12 months before the claim
- $100
18. Indemnification
You agree to indemnify and hold harmless Maintenance Ledger and its affiliates, owners, officers, employees, and agents from claims, losses, liabilities, damages, and expenses arising from:
- Your use of the Services
- Your content
- Your violation of these Terms
- Your violation of applicable law
- Your dealings with tenants, vendors, contractors, or third parties
19. Termination
You may stop using the Services at any time.
We may suspend or terminate your access if:
- You violate these Terms
- Payment is overdue
- Your use creates legal, security, or operational risk
- We are required to do so by law
20. Governing Law and Disputes
These Terms are governed by the laws of the Commonwealth of Virginia, without regard to conflict-of-laws rules.
Any dispute arising from these Terms or the Services will be resolved in the state or federal courts located in Virginia, and you consent to those courts' jurisdiction and venue.
21. Changes to These Terms
We may update these Terms from time to time. If we make material changes, we will update the Last Updated date and may provide notice through the Services or by other reasonable means.
By continuing to use the Services after updated Terms become effective, you agree to the revised Terms.
